These Terms of Use ("Terms") are entered into by and between you and Cyberdyne Secure Solution LLC ("ZEV", "Company", "we", "our", or "us"). These Terms govern your access to and use of our platform located at zev.systems and any related websites, applications, content, features, or services provided by us (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy (incorporated by reference). If you do not agree, you must not use or access the Services.
1. Our Services
ZEV provides a cybersecurity platform that may include, but is not limited to:
- Vulnerability scanning of internet-facing and internal assets
- Static and manual penetration testing
- Risk assessments and internal audits, with automated and expert-assisted review
- Generation, customization, and review of security policies and documentation
- Security-awareness training and certification
- Disaster-recovery testing
- Managed security and IT services, available under custom Enterprise contracts
Certain features may require you to:
- Verify ownership of, or authorization to test, the target assets
- Sign a Non-Disclosure Agreement (NDA) before accessing specific features or results
We reserve the right to request additional information or deny access if ownership cannot be validated or if you decline a required agreement.
2. Eligibility
You may use the Services only if you are at least 18 years old and legally able to enter into binding contracts. If you access the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Account registration and security
Most features require you to register an account. You agree to provide accurate, complete information; keep your credentials secure; and notify us promptly of any unauthorized access. You are responsible for all activity that occurs under your account.
4. Acceptable use
You agree that you will not:
- Use the Services to scan, test, or interact with assets you do not own or have explicit authorization to assess
- Interfere with or disrupt the integrity or performance of the platform, or attempt to gain unauthorized access to it
- Use the Services in violation of any applicable law or regulation
- Share content obtained through the Services in violation of an NDA or other confidentiality obligation
5. Subscriptions, billing, and cancellation
Paid plans are offered on a subscription basis and billed in advance — monthly for Zev Scan and annually for Zev Secure, Zev Comply, and Enterprise. Unless stated otherwise, subscriptions renew automatically at the end of each term until cancelled.
- Self-serve plans (Scan, Secure, and Comply) may be upgraded, downgraded, or cancelled at any time from your account; changes take effect at the end of the current billing period.
- Enterprise and managed engagements are governed by the terms of a separate order form or contract.
- Fees are non-refundable except where required by law or expressly stated. Plan features and quotas are described on our pricing page and may change with notice.
6. Automated output and no professional advice
Scan results, risk assessments, audits, generated documents, and other output are produced using automated and AI-assisted processing, with expert review where indicated. They are provided for informational purposes to support your security and compliance program and do not constitute legal, regulatory, or professional advice, nor a guarantee of security, certification, or compliance. You are responsible for reviewing output and for decisions made based on it.
7. Intellectual property
All content and materials on the Services — including text, graphics, templates, software, and trademarks — are owned by or licensed to Cyberdyne Secure Solution LLC and protected by applicable intellectual property laws. Your access does not grant ownership or any right to use our intellectual property except as expressly authorized. You retain ownership of the data and documents you submit, and grant us the rights needed to operate the Services and produce your results.
8. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to provide or use the Services, subject to any separately signed NDA.
9. Disclaimers and limitation of liability
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that they will detect every vulnerability or risk.
To the maximum extent permitted by law, Cyberdyne Secure Solution LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Services will not exceed the amounts you paid us in the twelve months preceding the event giving rise to the claim.
10. Modifications and updates
We may revise these Terms from time to time. Material changes are effective when posted with a revised date. Your continued use of the Services after changes take effect means you accept the updated Terms.
11. Dispute resolution and arbitration
Any disputes arising from or relating to these Terms or the Services will be resolved through binding individual arbitration, and you waive the right to participate in class actions or other representative proceedings. You may opt out of arbitration within the period described in our full arbitration policy.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct we believe violates these Terms or is otherwise harmful to our business, users, or partners. Provisions that by their nature should survive termination will survive.
